Welcome to ZenCreator LLC (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website zencreator.pro and all related applications, tools, and services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1. Definitions
For the purposes of these Terms:
- “Company”, “we”, “us”, “our” – ZenCreator LLC, 131 Continental Dr, Suite 305, Newark, DE 19713, United States.
- “Services” – Our AI-based content generation and editing tools, including but not limited to text-to-image, image-to-image, video generation, face swap, upscaling, content scheduling and publishing tools, and any related features, APIs, or integrations we may offer from time to time.
- “User”, “you”, “your” – Any individual or legal entity accessing or using the Services.
- “User Content” – Any content, data, prompts, text, images, videos, or other materials that you upload, submit, or otherwise provide to or through the Services (including input and instructions).
- “Output” – Any content generated by or through the Services based on your prompts, inputs, or use.
2. Eligibility
By using the Services, you represent and warrant that:
- You are at least 18 years old (the Services are not intended for minors).
- You have the legal capacity to enter into a binding agreement.
- If you use the Services on behalf of a company or other entity, you are authorized to bind that entity to these Terms.
- You will comply with all applicable laws, regulations, and these Terms.
We may request proof of age and/or identity and may suspend or terminate access if we cannot verify eligibility.
3. Description of Services and Modifications
- The Services allow Users to generate, edit, and manage digital content (including images and videos) using AI models and tools we provide or integrate.
- We may update, modify, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
- Certain features may be in beta or experimental stage and may change, break, or be removed at any time.
4. Account Registration and Security
- To use certain features of the Services, you may need to create an account and provide accurate and complete information.
- You are responsible for:
- Maintaining the confidentiality of your login credentials;
- Restricting access to your account; and
- All activities that occur under your account.
- You must notify us immediately of any unauthorized access or suspected breach of security.
5. User Content, Outputs, and Your Responsibilities
5.1. Your responsibility.
You are solely responsible for:
- The User Content you upload or provide;
- The prompts and instructions you give to the Services; and
- The way you use, share, store, or distribute any Output.
5.2. Rights to inputs.
You represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to use and upload User Content; and
- Your use of the Services and User Content does not infringe any third-party rights (including privacy, publicity, copyright, trademarks, or other IP rights).
5.3. Outputs.
As between you and us, and subject to your compliance with these Terms and full payment of all applicable fees:
- To the extent permitted by law and by our agreements with infrastructure or model providers, we grant you a non-exclusive, worldwide license to use, reproduce, display, and commercially exploit the Output you generate.
- You understand that AI models may generate similar or identical outputs for other users based on similar prompts, and you will not have exclusive rights to concepts or styles generated by the Services.
5.4. Our use.
You grant us a non-exclusive, worldwide, royalty-free license to use your User Content and Outputs:
- To operate, maintain, and improve the Services;
- To ensure compliance with these Terms and applicable law; and
- As otherwise described in our Privacy Policy.
Where possible, we will use aggregated or anonymized data.
6. Prohibited Uses and Content (VERY IMPORTANT)
You may not use the Services, or any Output, for any unlawful or harmful purposes. In particular, you must not use the Services to create, upload, distribute, or promote any of the following:
6.1. Child sexual abuse and minors
- Any child sexual abuse material (CSAM) or content that sexually exploits or endangers minors, including:
- Sexualized depictions of minors (real, fictional, or AI-generated)
- Nude or partially nude minors in a sexual context
- Any depiction of a person that appears to be under 18 in a sexual context
- Any content that sexualizes characters, personas, or bodies that look underage, even if you claim that they are 18+.
If we reasonably believe that you have used the Services to create, upload, or distribute child sexual abuse material or any sexualized content involving minors, we may immediately and permanently suspend or terminate your account, without any refund or compensation, and we may report your activity and/or content to the relevant authorities and service providers.
6.2. Bestiality and sexual violence
You must not use the Services for:
- Bestiality or any sexual content involving animals (real, fictional, or anthropomorphic) and humans.
- Sexual violence, non-consensual acts, coercion, rape, or any content that appears to depict non-consent (including “forced”, “drugged”, “sleeping”, or similar scenarios).
In such cases, we may suspend or terminate your account without refund and, where required by law, report your activity.
6.3. Other prohibited content
You also agree not to use the Services for:
- Content that violates any applicable law or regulation.
- Content that infringes third-party intellectual property rights.
- Harassment, bullying, threats, or incitement to violence.
- Hate speech or discriminatory content targeting protected classes (e.g., race, religion, gender, sexual orientation, etc.).
- Terrorism, extremism, or promotion of violent organizations.
- Revenge porn, doxxing, or invasion of privacy.
- Fraud, scams, impersonation, or other deceptive conduct.
- Any malware, phishing, or attempts to compromise security.
6.4. Technical restrictions
- Bypass or attempt to bypass technical, usage, or safety limits in the Services.
- Use bots, scrapers, or automated systems to excessively call or abuse the Services.
- Reverse engineer, decompile, or attempt to extract source code or model weights.
We reserve the right, at our sole discretion, to determine whether any content or behavior violates these Terms.
7. Enforcement, Suspension, and Termination for Violations
- We may monitor usage (manually or automatically) to detect abuse, security issues, and violations of these Terms.
- If we reasonably believe that you have violated these Terms (especially Section 6), we may, without notice and at our sole discretion:
- Suspend or limit your access to some or all Services;
- Permanently terminate your account;
- Disable, remove, or block access to specific content;
- Refuse to process current or future transactions; and/or
- Report your activity and share relevant information with law enforcement, hosting providers, payment processors, and other partners, to the extent permitted or required by law.
- No refunds for violations. If your account is suspended or terminated due to a violation of these Terms, you are not entitled to any refund, credit, or compensation for unused time, credits, or subscriptions, to the fullest extent permitted by law.
8. Payments, Credits, Subscriptions, and Refunds
- Some features of the Services are provided on a paid basis (for example, subscriptions, pay-per-use credits, or one-time packages). Prices and billing terms will be shown at the time of purchase and may change from time to time.
- You authorize us and our third-party payment processors to charge your selected payment method for all applicable fees.
- No refunds for used credits. Credits and usage-based services are consumed when generation or processing starts. Used or partially used credits are non-refundable.
- Subscriptions.
- It may renew automatically at the end of each billing period, unless cancelled in accordance with the terms displayed at checkout.
- You are responsible for managing your subscription and cancelling before renewal if you no longer wish to use the Services.
- Refunds for non-violation cases. Outside of violations of these Terms, refunds (if any) are provided at our sole discretion. You can contact us at info@zencreator.pro for billing questions.
- No refunds in case of abuse. As stated in Section 7.3, if your account is suspended or terminated due to abusive or prohibited use (including child sexual content or bestiality), you forfeit any remaining balance, credits, or subscription time.
9. Intellectual Property
9.1. Our IP.
All rights, title, and interest in and to the Services (including software, models, interfaces, designs, trademarks, and logos) are owned by ZenCreator LLC or our licensors. You receive no rights other than those expressly granted in these Terms.
9.2. Restrictions.
- Copy, modify, or create derivative works of the Services;
- Distribute, sublicense, or make the Services available to third parties (except as permitted in writing or via specific features, such as sharing)
- Remove or alter any copyright, trademark, or other proprietary notices.
10. Disclaimers
- The Services, including all Outputs, are provided on an “AS IS” and “AS AVAILABLE” basis.
- To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
- AI-generated content may be inaccurate, biased, offensive, or unexpected. You are solely responsible for reviewing, verifying, and deciding how to use any Output.
- We do not guarantee:
- That the Services will be uninterrupted, secure, or error-free;
- Any particular quality, style, or commercial result of the Outputs;
- That all harmful or prohibited content will be detected or blocked.
11. Limitation of Liability
To the maximum extent permitted by law:
- ZenCreator LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services or Outputs.
- Our total aggregate liability for any claims arising out of or related to these Terms or the Services will not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the maximum extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless ZenCreator LLC, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services or Outputs;
- Your User Content;
- Your violation of these Terms; or
- Your violation of any law or third-party rights.
13. Third-Party Services and Links
- The Services may integrate or link to third-party services, tools, or websites. We do not control and are not responsible for third-party content, policies, or practices.
- Your use of third-party services is governed by their own terms and policies. We are not responsible for any damages or losses caused by third-party providers.
14. Privacy and Data Protection
- Your use of the Services is also governed by our Privacy Policy and Cookies Policy, which explain how we collect, use, and protect your personal data.
- We strive to comply with applicable data protection laws, including GDPR and CCPA, where they apply.
- For data access, correction, or deletion requests, you can contact us at info@zencreator.pro as described in the Privacy Policy.
15. Governing Law and Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles.
- The parties will first attempt in good faith to resolve any dispute informally.
- If a dispute cannot be resolved informally, it shall be finally settled by binding arbitration in Delaware, before a single arbitrator, under the rules of a recognized arbitration body (e.g., AAA). The language of arbitration shall be English.
- You and we waive any right to a trial by jury or to participate in a class action, to the maximum extent permitted by law.
16. Changes to These Terms
We may update or change these Terms from time to time. When we do, we will update the “Last updated” date at the top. In case of material changes, we may notify you via the Services or by email.
By continuing to use the Services after the updated Terms become effective, you agree to be bound by the updated Terms.
